How to Form an LLC in Colorado

Here are the steps you need to take to form an LLC in Colorado. For more information on how to form an LLC in any state, see Nolo’s article How to Form an LLC .

1. Choose a Name for Your LLC

Under Colorado law, an LLC must contain the words or abbreviation limited liability company, ltd. liability company, limited liability co., ltd. liability co., limited, l.l.c., llc or ltd., Limited Liability Company,” “Limited Company,” or the abbreviation “L.L.C.,” “L.C.,” “LLC,” or “LC.” The word “Limited” may be abbreviated as “Ltd.,” and “Company” may be abbreviated as “Co.”

Your LLC s name must be distinguishable from the names of other business entities already on file with the Colorado Secretary of State. Names may be checked for availability by searching the Colorado Secretary of State business name database .

An available name may be reserved for 120 days by filing a Statement of Reservation of Name with the Colorado Secretary of State. The form must be filed online at the Secretary of State website. The filing fee is $25.

2. File Articles of Organization

A Colorado LLC is created by filing articles of organization online with the Colorado Secretary of State. You can view and download a sample articles of organization form on the Secretary of State s website.

The articles must include the LLC’s name and address; the name and address of LLC s registered agent, the name and address of the person forming the LLC whether the LLC will be run by a manager or members, and a few other details.

The articles of organization must be filed online and the filing fee is $50.

3. Appoint a Registered Agent

Every Colorado LLC must have an agent for service of process in the state. This is an individual or business entity that agrees to accept legal papers on the LLC s behalf if it is sued. The agent should agree to accept service of process on behalf of the limited liability company prior to designation. The registered agent may be (1) an individual who is a full-time resident of Colorado, (2) a Colorado business entity with its principal place of business in Colorado, or (3) a foreign entity authorized to do business in Colorado and that has a usual place of business in the state.

4. Prepare an Operating Agreement

An LLC operating agreement is not required in Colorado, but is highly advisable. If an operating agreement is created, it need not be filed with the Articles of Organization.

6. Comply With Other Tax and Regulatory Requirements

Additional tax and regulatory requirements may apply to your LLC. These may include:

EIN: If your LLC has more than one member, it must obtain its own IRS Employer Identification Number (EIN), even if it has no employees. If you form a one-member LLC, you must obtain an EIN for it only if it will have employees or you elect to have it taxed as a corporation instead of a sole proprietorship (disregarded entity). You may obtain an EIN by completing an online application on the IRS website. There is no filing fee.

Register with Department of Revenue: In some cases, for example if you will be selling goods and collecting sales tax or if you have employees, you ll need to register with the Colorado Department of Revenue (DOR). Business Licenses: Depending on its type of business and where it is located, your LLC may need to obtain other local and state business licenses.

7. File Periodic (Annual) Reports

Colorado LLCs must file a Periodic Report with the Colorado Secretary of State each year. The report must be filed online at the Secretary of State website. The filing fee is $10. The periodic reports are due during the three month period beginning on the first day of the anniversary month of the month when the LLC was formed. For example, if you formed your SMLLC on June 15, the report would be due each subsequent year between June 1 and August 31. You can also file the report up two months early. You may sign-up for email notification from the Secretary of State to alert you when the Periodic Report is due.

8. Foreign LLCs Doing Business in Colorado

All LLCs organized outside of Colorado must register with the Colorado Secretary of State to do business in Colorado. Foreign LLCs must appoint a registered agent for service of process physically located in Colorado. To register, file a Statement of Foreign Entity Authority. The application may must be filed online. The filing fee is $100.

Before filing, make sure the LLC s name is available in Colorado by checking the Colorado Secretary of State s business name database. If the name is not available, the LLC must provide an assumed entity name for use in Colorado.

This air conditioner sizing tutorial will explain you how to choose the right air conditioner size. Choosing an air conditioner size that is too small (low BTU rating) for the intended room will leave you feeling hot and flustered! And buying an air conditioner that is too big for the room can have its problems too. So the main question is what does BTU mean?

BtuBritish Thermal Unit (Btu) is the international measure of energy. A Btu is the amount of heat needed to raise 1 (one) pound of water by 1(one) degree Fahrenheit. In HVAC industry, Btu’s measure the quantity of heat a conditioning unit can remove from a room per hours. One BTU per hour is equal to 0293 watts. As the Btu rating increases, so does the weight, size and cost of the air conditioner.
To calculate how many BTU’s you need you can use this table.

Recommended BTU Range

The following tables are estimates based on average room conditions in a moderate climate.

Exceptions are Kitchens – add 4,000 BTU cooling capacity to the recommended size.
High Ceilings/Unusual Floor Plans
– increase BTU by 10%.
Warmer Climates – may require 10-20% additional BTUs per room over regular amount.

BTU size too large:
A conditioner that has a bigger BTU rating than the room size needs will cycle off too quickly. The unit will not remove the humidity from the air properly.

Air Conditioner size too small:
A conditioner that has a smaller BTU rating than the room requires will run continuously. The unit will not cool the room adequately.

How do you know? How can you tell if your relationship is in it for the long haul or the two-month plummet everyone predicted behind your love-obsessed back?

First, it should be easy, from the beginning to end. There are no passionate fights with passionate make-up sex. There’s no obsessive calling, texting or worrying.

There’s no real drama. Because drama is for kids. Drama is for people who don’t know how to have a relationship — who live by idealistic, preconceived notions that love must be wild and obsessive.

Love is easy. It’s the easiest thing you’ve ever done. It’s the calmest place in your life, the safest blanket you’ve ever worn. It’s something that happens naturally; it doesn’t need to be fought for day in and day out.

When you love someone, and he or she loves you, and there’s no doubt to his or her feelings and no doubt to yours, that’s peace of mind. A peace of mind you’ve never had before. the kind that humbles and revives you.

A mature relationship lives by this peace of mind; immature ones drown in it.

Immature relationships ask questions; mature relationships answer them

Immature relationships are all about doubts. Does he love me? Is she cheating on me? Will we be together in two months?

Mature couples don’t need to ask questions. They already know the answers, and they don’t need reassurance from their partners.

They are comfortable and secure and free of doubt because mature love isn’t about all those small questions, but a comfort in knowing the big one is answered.

There’s a void in immature relationships, an apparent absence and incessant worry that something’s missing.

We all get wrapped up in love. It’s easy to spend days in bed and weekends in the hazy world of blankets and kisses.

But eventually, that smothering love is replaced with motivated love — a type of love that comes when you want to make a life with someone and work hard to get that life. Immature couples never get to this.

They never feel that motivation to leave each other only to come back more successful and more determined to make a life for the two of them.

The present value of annuity formula determines the value of a series of future periodic payments at a given time. The present value of annuity formula relies on the concept of time value of money, in that one dollar present day is worth more than that same dollar at a future date.

Rate Per Period

As with any financial formula that involves a rate, it is important to make sure that the rate is consistent with the other variables in the formula. If the payment is per month, then the rate needs to be per month, and similarly, the rate would need to be the annual rate if the payment is annual.

An example would be an annuity that has a 12% annual rate and payments are made monthly. The monthly rate of 1% would need to be used in the formula.

What is Present Value of An Annuity?

Present value of an annuity is a time value of money formula used for measuring the current value of a future series of equal cash flows.

The two most popular uses are for calculating loan payments and for calculating retirement funding needs. Both use the same formula, it’s just that they work in opposite directions.

For example, if you would like have enough money in a retirement account so that you can withdraw $2,000 per month for twenty years, and you believe you can earn 6% on your money, present value calculations will tell you that you will need to have $279,161.54 in your retirement account on the day you retire.

Conversely, if you wanted to take out a $279,161.54 mortgage for a home on a 6%, 20-year monthly repayment term, present value calculations with tell you that your monthly payments will be $2,000.00.

Being On the Right Side of Compounding Interest Equation

Continuing with the above example, if you multiply the number of mortgage payments by the number of payment periods, you will find that the total of all monthly payments for the 20-year mortgage add up to $480,000 ($2,000 x 12 months x 20 years). That’s $200,838.46 more than the $279,161.54 you borrowed!

So why are you paying back so much more than you borrowed? The difference is the result of compounding interest. And in the case of a mortgage loan, interest is being compounded on the entire amount you owe each time you make a payment. This means you are being charged interest on the same borrowed dollars many times over. In fact, by the time you pay back the last dollar you owe to the mortgage company, you will have been charged the full annual interest rate on that dollar 20 times. Ouch!

On the other hand, if you could manage to accumulate $279,161.54 in an account earning 6% compounding interest, you could withdraw $2,000 from the account every month for 20-years — which is $200,838.46 more than you started out with!

Again, that is the due to compounding interest. But in this case YOU are the lender who is charging the borrower interest over and over again on many of the dollars you loaned them.
